WHEREAS:
UniNets offers a platform for instructors to develop and prepare lab courses that can be made available for commercial sale to users.
The Instructor seeks to use the UniNets platform to create, develop, and commercially sell lab courses.
NOW, THEREFORE, the parties agree as follows:
1. Access to UniNets Platform
UniNets grants the Instructor access to its platform for the purpose of developing and preparing lab courses. The platform provides the tools and resources needed to build, configure, and manage lab environments.
2. Use of Proprietary Images
● Prohibited Use: The Instructor is strictly prohibited from using any proprietary or copyrighted images, including but not limited to software and operating system images, without proper licenses or permissions.
● Responsibility: If the Instructor uploads or uses any copyrighted images in their lab courses, they assume full responsibility for obtaining the necessary licenses or permissions from the respective vendors or copyright holders.
● Indemnification: The Instructor agrees to indemnify, defend, and hold harmless UniNets from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to the unauthorized use of copyrighted images.
3. Development of Lab Courses
The Instructor is responsible for developing, configuring, and maintaining lab courses on the UniNets platform. Lab courses should be original, and the Instructor must ensure that all content used in the development of the lab courses complies with copyright laws and vendor agreements. The Instructor may use open-source or freely available resources in lab courses, provided they adhere to the respective licenses.
4. Commercial Sale of Lab Courses
The Instructor may offer their developed lab courses for commercial sale to users on the UniNets platform. UniNets reserves the right to review and approve all lab courses before they are made available for sale to ensure compliance with this Agreement. Pricing for the lab courses will be determined by the Instructor, subject to UniNets' review and approval.
5. Revenue Sharing
UniNets and the Instructor will agree on a revenue-sharing model for the sale of lab courses. The specifics of the revenue share will be outlined in a separate addendum or agreement. Payments to the Instructor will be made according to the terms agreed upon in the revenue-sharing agreement.
6. Instructor's Responsibilities
● Compliance with Laws: The Instructor agrees to comply with all applicable laws, regulations, and vendor licenses in relation to the development and sale of lab courses.
● Content Accuracy: The Instructor is responsible for ensuring the accuracy, quality, and completeness of the lab courses.
Updates and Maintenance: The Instructor must regularly update and maintain lab courses to ensure they remain relevant and functional.
7. UniNets' Rights
UniNets reserves the right to remove or suspend any lab course that violates this Agreement or any applicable laws, regulations, or vendor licenses. UniNets may also terminate the Instructor's access to the platform for violations of this Agreement.
8. Indemnification and Liability
● Indemnification: The Instructor agrees to indemnify, defend, and hold harmless UniNets, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
● The Instructor's use of copyrighted images or content in lab courses.
● Any infringement or alleged infringement of third-party intellectual property rights.
● Limitation of Liability: UniNets shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the Instructor's use of the platform or the sale of lab courses.
9. Confidentiality
The Instructor agrees to keep all proprietary information related to the UniNets platform confidential and not to disclose it to any third party without UniNets' prior written consent.
10. Termination
● Termination by UniNets: UniNets reserves the right to terminate this Agreement and the Instructor's access to the platform at any time, with or without cause.
● Termination by Instructor: The Instructor may terminate this Agreement by providing written notice to UniNets. Upon termination, the Instructor must cease all use of the platform and remove any lab courses uploaded thereto.
Effect of Termination: Upon termination of this Agreement, the Instructor's right to sell lab courses on the UniNets platform will cease immediately.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws.
12. Acknowledgment
The Instructor acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions. The Instructor agrees that UniNets is not liable for any copyright infringement issues that may arise from the Instructor's use of images or content on the platform.
13. Acceptance
By using the UniNets platform to develop and sell lab courses, the Instructor agrees to the terms and conditions outlined in this Agreement.
